1.2. “Services” refers to the virtual assistance, digital services, content creation, graphic design, video editing, website development, training, and any other service provided by DigiServe PH.

1.3. “Agreement” refers to the contractual agreement established between DigiServe PH and the Client regarding the provision of Services.

2. Acceptance of Terms
By using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions. These Terms apply to all visitors, users, and Clients who access or use our Services.

3. Services Provided
3.1. General Scope: DigiServe PH offers a wide array of services, including but not limited to:

Virtual assistance (administrative support, customer service, client management)
Content creation (copywriting, social media content, blog posts)
Graphic design (social media graphics, branding materials)
Video editing (short-form content, reels, marketing videos)
Website development (front-end and back-end web development)
Training in digital skills and e-commerce.
3.2. Service Customization: The specific scope, deliverables, and duration of the services will be outlined in a separate written agreement or contract between DigiServe PH and the Client.

4. User Obligations and Responsibilities
4.1. Client Responsibilities: Clients are responsible for providing accurate, complete, and timely information needed to perform the agreed Services. The Client should ensure all instructions, materials, and data shared with DigiServe PH are correct and lawful.

4.2. Compliance: The Client agrees to use our Services in compliance with all applicable laws and regulations. DigiServe PH reserves the right to suspend or terminate any Service that violates these Terms or breaches any contractual agreement.

5. Payment and Fees
5.1. Fee Structure: The fees for our Services will be as specified in the service agreement or contract. Fees may vary based on the complexity and scope of the Services provided. All payments must be made in full, according to the payment terms specified in the service agreement.

5.2. Payment Schedule: Payment for Services is typically due upon invoice. Specific payment schedules, such as monthly retainers or milestone-based payments, will be defined in the contract.

5.3. Late Payments: If payments are not received within the agreed time frame, DigiServe PH reserves the right to charge late fees and/or suspend Services until payment is received. Additionally, we may terminate the agreement if payment obligations are not met.

5.4. Refund Policy: DigiServe PH does not offer refunds for services already rendered. However, if the Client has concerns about the quality or delivery of the Service, we encourage the Client to contact us to resolve the issue.

6. Termination of Services
6.1. Client-Initiated Termination: Clients may cancel their Services by providing written notice, subject to the terms agreed upon in the service agreement. Depending on the stage of service delivery, any outstanding payments or fees will remain due.

6.2. DigiServe PH-Initiated Termination: DigiServe PH may terminate or suspend the provision of Services at any time if:

The Client breaches these Terms or any contractual obligations.
The Client engages in unlawful or unethical conduct.
Payment for Services is overdue or remains unpaid after notice.
6.3. Effect of Termination: Upon termination of Services, any outstanding invoices for Services already provided will remain payable by the Client. Both parties must return any confidential information or materials shared during the agreement period.

7. Intellectual Property
7.1. Ownership of Materials: Unless otherwise specified in the service agreement, DigiServe PH retains ownership of all materials, tools, methodologies, and intellectual property developed or provided in the course of delivering Services.

7.2. License to Use: Upon full payment of fees, the Client will receive a limited, non-transferable license to use any deliverables created by DigiServe PH, solely for the Client’s business purposes. This license does not extend to third parties without prior written approval.

7.3. Client Content: The Client retains ownership of any data, information, or content provided to DigiServe PH for the purpose of fulfilling the Service. The Client grants DigiServe PH the right to use this content for the purposes of delivering the Services.

8. Confidentiality
8.1. Mutual Confidentiality: Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business plans, financial data, client lists, and intellectual property.

8.2. Exceptions: Confidential information does not include information that is:

Publicly known at the time of disclosure.
Discovered or created independently by the receiving party without reliance on confidential information.
Rightfully obtained from a third party without breach of any confidentiality obligations.
8.3. Non-Disclosure: DigiServe PH will not disclose or use the Client’s confidential information for any purpose other than providing the agreed-upon Services.

9. Limitation of Liability
9.1. Service Disclaimer: DigiServe PH provides Services on an “as-is” basis and makes no guarantees regarding the performance or success of the Services delivered.

9.2. Indemnity: The Client agrees to indemnify and hold DigiServe PH harmless from any claims, damages, liabilities, or expenses arising from the use of the Services, including but not limited to third-party claims.

9.3. Liability Cap: In no event shall DigiServe PH’s liability exceed the total amount paid by the Client for the Services provided.

10. Force Majeure
DigiServe PH shall not be liable for any delays or failures in performance due to events beyond our reasonable control, including but not limited to acts of God, war, labor disputes, power failures, or governmental actions.

11. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes or claims arising under these Terms will be subject to the jurisdiction of the courts in the Philippines.

12. Amendments
DigiServe PH reserves the right to amend or update these Terms and Conditions at any time. Any modifications will be posted on our website and will become effective immediately upon posting. Continued use of the Services following any changes constitutes your acceptance of the revised Terms.
